1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and RenewalTracker, LLC ("RenewalTracker," "we," "us," or "our") governing your access to and use of the RenewalTracker platform and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

RenewalTracker provides a cloud-based platform for managing business renewals, including but not limited to software licenses, contracts, insurance policies, certifications, and subscriptions. The Service includes features for tracking renewal dates, managing documents, assigning tasks, receiving notifications, and generating reports.

3. Account Registration

To use the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

4. Subscription and Payments

4.1 Subscription Plans

The Service is offered under various subscription plans with different features and pricing. Details of current plans are available on our website. We reserve the right to modify our plans and pricing with 30 days' notice.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. You authorize us to charge your payment method for all fees incurred.

4.3 Refunds

We offer a 14-day money-back guarantee for new subscriptions. After this period, fees are non-refundable except as required by law. Annual subscriptions may be eligible for prorated refunds at our discretion.

4.4 Free Trial

We may offer free trials of the Service. At the end of the trial period, your account will be converted to a paid subscription unless you cancel before the trial ends.

5. Your Data

5.1 Ownership

You retain all rights to the data, content, and information you upload to the Service ("Your Data"). We do not claim ownership of Your Data.

5.2 License Grant

You grant us a limited, non-exclusive license to use, process, and store Your Data solely to provide the Service and as described in our Privacy Policy.

5.3 Data Backup

While we maintain regular backups of the Service, you are responsible for maintaining your own backups of Your Data. We recommend regularly exporting your data using our export features.

• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the integrity or performance of the Service

• Resell, sublicense, or redistribute the Service without authorization
• Use automated means to access the Service without our permission

7. Intellectual Property

The Service, including its design, features, functionality, and content (excluding Your Data), is owned by RenewalTracker and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service without our written consent.

"RenewalTracker" and our logo are trademarks of RenewalTracker, LLC. You may not use our trademarks without prior written permission.

8. Third-Party Services

The Service may integrate with or contain links to third-party services. We are not responsible for the content, terms, or practices of third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of scheduled maintenance when possible.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will meet your requirements, be error-free, or that any errors will be corrected. You acknowledge that renewal tracking is advisory and you remain responsible for managing your actual renewal obligations.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENEWALTRACKER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless RenewalTracker and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with notice.

Upon termination, your right to use the Service will cease immediately. We will retain Your Data for 90 days following termination, during which you may request export of your data. After this period, Your Data will be deleted.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and RenewalTracker.
• Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without our written consent. We may assign these Terms without restriction.
